1. Grant of License

  • Interfere with or disrupt the operation of the Platform or the servers and networks connected to the Platform.

  • Use any automated means, including robots, spiders, or scrapers, to access or collect data from the Platform.
  • Use the Platform for any commercial purposes other than buying and selling second-hand goods as expressly permitted by T:Market.
  • License Scope: This license is limited to your personal use of the Platform. You may not sublicense, assign, or transfer this license to any other party.
  • Reservation of Rights: T:Market reserves all rights not expressly granted in this Agreement.
  • Updates and Modifications: T:Market may update, modify, or discontinue any aspect of the Platform at any time without prior notice.
  • Suspension and Termination: T:Market may suspend or terminate your license to use the Platform at any time for any reason, including but not limited to your violation of this Agreement or misuse of the Platform.

2. License Types

  • Shop: For businesses operating a shop on the T:Market platform. This license may be subject to subscription fees, transaction fees, or other charges.

    • Damage to reputation or goodwill.
    • Costs of procurement of substitute goods or services.

    7.4 Exclusion of Certain Damages

    In no event shall T:Market be liable for any damages arising out of or related to:

    • Your use or misuse of the Platform or Services.
    • Your reliance on any content or information on the Platform.
    • Your interactions with other users of the Platform.
    • Any third-party services or products accessed through the Platform.
    • Any unauthorized access to or use of your account or data.

    7.5 Indemnification

    You agree to indemnify and hold T:Market harmless from any claims, losses, damages, liabilities, costs, and expenses (including attorney’s fees) arising out of or related to:

    • Your use or misuse of the Platform or Services.
    • Your violation of this Agreement or any applicable laws or regulations.
    • Your infringement of any third-party rights, including intellectual property rights.
    • Your breach of any representations or warranties made in this Agreement.
    • Any disputes or claims arising from your interactions with other users of the Platform.

    7.6 Assumption of Risk

    You acknowledge and agree that your use of the Platform and Services is at your own risk. You are solely responsible for your interactions with other users and any decisions you make based on information or content on the Platform.

    7.7 Limitation of Liability Amount

    T:Market’s total cumulative liability to you for any and all claims arising out of or related to this Agreement, the Platform, or the Services shall be limited to the amount of fees you have paid to T:Market in the twelve (12) months preceding the event giving rise to the liability.

    7.8 Enforceability

    If any provision of this Liability Disclaimer is held to be invalid or unenforceable, such provision shall be struck from this Agreement and the remaining provisions shall remain in full force and effect.

    7.9 Governing Law

    This Liability Disclaimer shall be governed by and construed in accordance with the laws of Israel, without regard to its conflict of laws principles.

    7.10 Entire Agreement

    This Liability Disclaimer constitutes the entire agreement between you and T:Market with respect to the subject matter hereof and supersedes all prior or contemporaneous communications, representations, or agreements, whether oral or written.

8. Termination

    8.2 Termination for Non-Payment

    T:Market may terminate Shop licenses or any other licenses subject to fees for non-payment of fees, subject to any applicable grace periods and in accordance with the terms of the specific license agreement.

    8.3 Termination for Convenience

    T:Market may terminate this Agreement or any license granted hereunder at any time for any reason or no reason, upon written notice to you.

    8.4 Effect of Termination

    Upon termination of this Agreement or any license granted hereunder:

    • Your license to use the T:Market Platform will immediately cease.
    • You must immediately discontinue all use of the Platform.
    • You will no longer have access to your account or any data associated with your account.
    • T:Market may delete your account and any associated data.
    • T:Market shall have no further obligations to you under this Agreement, except for any obligations that expressly survive termination.

    8.5 Survival

    The following provisions of this Agreement shall survive termination:

    • Intellectual Property provisions (Section 6)
    • Liability Disclaimer provisions (Section 7)
    • Governing Law and Dispute Resolution provisions (Section 9)
    • Any other provision that by its nature is intended to survive termination

    8.6 No Liability

    T:Market shall not be liable to you or any third party for any damages or losses arising out of or related to the termination of this Agreement or any license granted hereunder.

9. Governing Law and Dispute Resolution

    This Agreement shall be governed by and construed in accordance with the laws of the State of Israel, without regard to its conflict of laws principles.

    9.2 Dispute Resolution

    Any controversy or claim arising out of or relating to this Agreement, or the breach thereof, shall be settled by arbitration administered by the [Arbitration Association Name] in Tel Aviv, Israel, in accordance with its Commercial Arbitration Rules and the Supplementary Procedures for Consumer Related Disputes (if applicable). The arbitration shall be conducted by a single arbitrator, and the language of the arbitration shall be English.

    You and T:Market agree to waive any right to participate in a class action lawsuit or class-wide arbitration. Any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

    9.6 Limitation on Time to File Claims

    Any cause of action or claim you may have arising out of or relating to this Agreement or the Platform must be commenced within one (1) year after the cause of action accrues; otherwise, such cause of action or claim is permanently barred.

    9.7 Notices

    All notices and other communications hereunder shall be in writing and shall be deemed to have been duly given when delivered in person, upon the first business day following deposit in the mail, postage prepaid, certified or registered, return receipt requested, addressed as follows:

    9.8 Entire Agreement

    This Agreement, along with any exhibits or attachments hereto, constitutes the entire agreement and understanding between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous communications, representations, or agreements, whether oral or written.

    9.9 Severability

    If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.

    9.10 Waiver

    No waiver of any provision of this Agreement shall be effective unless in writing and signed by the party against whom the waiver is sought to be enforced.

10. Entire Agreement

  • This Agreement constitutes the entire understanding between the parties and supersedes any prior or contemporaneous communications.

11. Severability

  • If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck from this Agreement and the remaining provisions shall remain in full force and effect.
